Terms of Service

These Terms of Service ("Terms") govern your access to and use of the company website at upzare.com and the products operated by UPZARE TECHNOLOGIES PRIVATE LIMITED ("UPZARE", "we", "us", or "our"), a private limited company incorporated in India. Our products include Waffy (waffy.io and the Waffy browser extension) and SuperPost (superpost.dev), together the "Services".

UPZARE is transitioning and our products are under active development. Individual products may publish their own terms; where a product's terms are more specific, those terms apply to that product in addition to these Terms. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Waffy and our company website. SuperPost is not intended for individuals under 16. By using the Services, you represent that you meet these requirements and have the legal capacity to enter into these Terms.

2. Our Products

• Waffy is a free, open-source browser extension licensed under the Apache License 2.0. It runs locally in your browser, and you provide your own API keys for third-party AI providers. We do not operate a hosted inference backend for the extension.
• SuperPost is a platform with a dashboard, APIs, and SDKs that let you connect, manage, and distribute content across multiple third-party social media platforms. Some SuperPost features are paid.

We may update, modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Accounts and Registration

Some Services require an account. You must provide accurate, complete, and current information, and you are responsible for safeguarding your password and any API keys, and for all activity under your account.

4. Acceptable Use

You agree not to:

• Use the Services to access, collect, or process data without proper authorization or in violation of applicable laws.
• Automate actions on websites or services in breach of their terms of use or robots policies.
• Distribute malware, spam, or other harmful content.
• Interfere with, compromise, or disrupt the integrity or performance of the Services.
• Violate the rights of others, including privacy, intellectual property, and data protection rights.
• Impersonate others or misrepresent your affiliation with any person or entity.
• Use the Services for unlawful, fraudulent, or abusive purposes.

You are solely responsible for ensuring your use complies with the terms of any website, platform, or AI provider you interact with through the Services.

5. API and Fair Use

Where SuperPost provides API and SDK access, you are granted a limited, non-exclusive, non-transferable license to use the endpoints. You must respect applicable rate limits, keep your API keys confidential, and not embed them in client-side code. We may throttle or block requests we determine to be abusive or unduly burdensome on our infrastructure.

6. Content and Third-Party Services

You retain ownership of the content and instructions you provide. For SuperPost, you grant us a worldwide, royalty-free license to transmit, process, and distribute your content solely to operate the Service and publish to the platforms you connect. You are responsible for complying with the terms of any third-party network or AI provider, and we are not responsible for their availability, output, or practices.

7. Payment and Billing

Paid features are billed as described at the point of purchase. Fees charged by third-party AI providers you connect are between you and those providers. Waffy is provided free of charge.

8. Intellectual Property

The UPZARE, Waffy, and SuperPost names, logos, and branding are owned by or licensed to UPZARE TECHNOLOGIES PRIVATE LIMITED. You may not use them without our prior written consent, except as permitted by law. The Waffy source code is licensed under the Apache License 2.0, and your rights to that code are governed by that license.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that automated actions or AI-generated outputs will be accurate. You are responsible for reviewing actions and outputs before relying on them.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UPZARE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE RELEVANT SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) INR 5,000. FOR SERVICES PROVIDED FREE OF CHARGE, THIS AMOUNT WILL TYPICALLY BE INR 5,000.

11. Indemnification

You agree to indemnify and hold harmless UPZARE, its affiliates, and their respective directors, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms or any law or third-party rights.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms or to protect the Services or other users.

13. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
