Welcome to UPZARE. These Terms of Service ("Terms") govern your access to and use of the UPZARE website, platform, and services (collectively, the "Services") operated by Upzare Technologies Private Limited, a company incorporated under the laws of India ("UPZARE", "we", "us", or "our"). By accessing or using any part of the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use our Services. By using the Services, you represent and warrant that you meet this requirement. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. You must notify us immediately at support@upzare.com if you suspect any unauthorised use of your account.

3. Services

UPZARE provides cloud hosting services, including but not limited to Virtual Private Servers (VPS), game server hosting, and bot hosting. The specific features, resources, and pricing of each plan are described on our website and may be updated from time to time. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights, including intellectual property, privacy, or export control laws.
• Distribute malware, viruses, or any software designed to damage or gain unauthorised access to systems.
• Send unsolicited bulk email (spam), phishing messages, or engage in any form of network abuse.
• Host, store, or distribute content that is unlawful, defamatory, obscene, or that promotes violence or discrimination.
• Engage in cryptocurrency mining unless expressly permitted by your plan.
• Attempt to probe, scan, or test the vulnerability of any UPZARE system or network, or to circumvent any security or authentication measures.
• Resell, sublicense, or redistribute the Services without our prior written consent.

We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this acceptable use policy.

5. Payment and Billing

All fees are stated in US Dollars unless otherwise indicated. Payments are due at the time of purchase or renewal. We accept major credit and debit cards, PayPal, UPI, and select cryptocurrency payments.

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel auto-renewal at any time through your account dashboard. No prorated refunds are issued for the unused portion of a billing cycle unless covered by our Refund Policy.

We may change our pricing at any time. Price changes to existing subscriptions will take effect at the start of the next billing cycle following notice to you.

6. Service Level Agreement (SLA)

We target 99.9% monthly uptime for all hosting services. If we fail to meet this target in a given calendar month, you may be eligible for service credits as described in our SLA documentation. Scheduled maintenance windows are excluded from uptime calculations. We will provide at least 48 hours' advance notice for planned maintenance whenever possible.

7. Data and Backups

You are solely responsible for maintaining backups of your data. While we may offer automated backup features on certain plans, we do not guarantee the availability, integrity, or recoverability of any data stored on our systems. We strongly recommend implementing your own independent backup strategy.

8. Intellectual Property

All content, trademarks, logos, and software comprising the UPZARE platform are the property of UPZARE or its licensors. You retain ownership of any content you upload or deploy on the Services. By using the Services, you grant us a limited, non-exclusive licence to host and serve your content solely for the purpose of providing the Services.

9. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described therein.

10. Limitation of Liability

To the maximum extent permitted by applicable law, UPZARE and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of the Services, regardless of the theory of liability. Our total aggregate liability shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless UPZARE and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your content, or your violation of these Terms.

12. Termination

You may close your account at any time through your dashboard or by contacting support. We may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms. Upon termination, your right to use the Services ceases immediately. We may delete your data within 30 days of account closure unless retention is required by law.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Kottayam, Kerala, India.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
